Sales transaction of Shares in a Joint-Venture Company based in China
Our client, investor and major shareholder in a Sino-foreign Joint-Venture Company based in Changshu state - China, acquired in 2004 the Right of Use of a state-owned land. The Joint Venture’s scope was to construct and operate a 5 stars hotel with its auxiliary services. The developed land included also the construction, lease and management of service apartments and villas.
Masterminds was appointed to oversee the intricate transaction of Sales and Purchase Agreement “SPA” which subject was to sell the foreign investor’s shares (our client) in the Joint-Venture to the Chinese counterpart, under the applicable laws in China.
